This Early Adoption and Testing Policy ("Policy") is a Transaction Document under the Akamai Terms & Conditions (“T&C”) and provides the additional terms which are specific to your use of any Service designated as limited availability, beta, trial, proof of concept, or otherwise in a pre-release state in an Order Form or Akamai customer portal (“Covered Service”) for the applicable period described therein (“Covered Period”). At the end of a Covered Period, all Customer Content stored on the corresponding Covered Service shall be deleted and unrecoverable without exception.
Conditions to Participation.
Customer agrees to limit use of a Covered Service to non-production workloads, and will not include any data subject to statutory or regulatory protections;
Customer agrees that Akamai shall not be responsible for any claim, dispute, expense, liability, or loss, arising from or related to the subject matter herein (collectively “Loss”);
Customers are not entitled to any compensation, refund, or service credits from Akamai for any downtime, data unavailability or destruction, or other Loss; and
Akamai may change, suspend, remove, or disable access to a Covered Service, in whole or in part, at any time without notice or cause.
Proprietà intellettuale.
Akamai retains sole and exclusive ownership of all Intellectual Property arising from or related to this Policy, without exception or exclusion, including without limitation, any arising or related to Customer’s interaction with or modification of Covered Service. This Policy does not convey to Customer any right, title or interest in or to any Intellectual Property arising from or related to Covered Service. No joint development is contemplated hereunder, and the performance, interaction, or engagement of Customer, including without limitation Customer feedback, shall be considered, constructed, or interpreted to be joint development.
Limitazioni. Customer is expressly prohibited from performing, interacting, engaging, or otherwise enabling any Customer from: (i) reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code, object code, or underlying structure, ideas, or algorithms of Akamai’s software, technology, services, or documentation; (ii) modifying, translating, or creating derivative works based on Akamai’s software, technology services, or documentation; (iii) renting, leasing, distributing, sublicensing, reselling, pledging, assigning, or otherwise transferring or encumbering rights to Akamai’s software, technology, services, or documentation; or (iv) removing or otherwise altering any proprietary notices or labels from Akamai’s software, technology, services, or documentation or any portion thereof.
Specific Remedies. In the event a court of competent jurisdiction, for any or no reason, finally and conclusively determines Customer to have any whole or part ownership interest to any aspect of a Covered Service, Customer expressly grants Akamai an irrevocable, universal, world-wide, royalty-free, and affiliate sublicensable license to continue the use, transfer, sell, provide, distribute, and/or otherwise make available such Covered Service, in any state or form in perpetuity after the Effective Date, regardless of the effect or currency of this Policy.
Riservatezza. The Parties agree that any information disclosed by Akamai to Customer in connection with this Policy shall be subject to the provisions of the NDA and to maintain strictly as confidential, and not to disclose to any third party without the prior written consent of the disclosing Party, all information related to or involving the negotiation of this Policy.
Commenti e suggerimenti. Customer grants to Akamai, without charge, the right to use, share, and commercialize Customer feedback in any way and for any purpose. Customers shall not provide feedback that is subject to (i) third party rights, including without limitation third party intellectual property rights; or (ii) licensing terms that would require Akamai to license or otherwise provide its software or documentation to third parties.
Disponibilità del supporto All Covered Service support requests must be directed to the support contact designated in the applicable Order Form. Akamai does not guarantee the uptime or availability of a Covered Service, and all Covered Services are expressly excluded from all Akamai service level agreements.
Indennizzi. Customer shall defend, indemnify, and hold harmless Akamai for any Loss arising from or related to: (i) violation of applicable laws; (ii) Customer processing interaction with a Covered Service; (iii) Customer breach and/or default of any covenant, obligation, or representation herein; and (iii) the inaccessibility or destruction of Customer data in connection with a Covered Service.
Dichiarazione di non responsabilità: ALL ASPECTS OF A COVERED SERVICE ARE BEING MADE AVAILABLE TO CUSTOMERS “AS-IS” AND AKAMAI EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND, PAST OR PRESENT, STATUTORY OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, NON-INFRINGEMENT, OR SECURITY.
AKAMAI DOES NOT WARRANT AGAINST INTERFERENCE WITH CUSTOMER ENJOYMENT OF A COVERED SERVICE, THAT A COVERED SERVICE WILL MEET CUSTOMER REQUIREMENTS, THAT THE OPERATION OF A COVERED SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS OR ERRORS IN A COVERED SERVICE WILL BE CORRECTED, THAT A COVERED SERVICE WILL BE COMPATIBLE WITH FUTURE AKAMAI PRODUCTS, SERVICES, OR ANY THIRD PARTY SOFTWARE, APPLICATIONS, OR SERVICES, OR THAT ANY DATA PROCESSED, STORED, OR TRANSMITTED WITH A COVERED SERVICE WILL NOT BE LOST, CORRUPTED, DAMAGED, OR RECOVERABLE.
Limitazione di responsabilità. AKAMAI SHALL NOT BE LIABLE FOR LOSS, OR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO THIS POLICY OR CUSTOMER’S USE OR INABILITY TO USE COVERED SERVICE, HOWEVER CAUSED, WHETHER UNDER A THEORY OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCTS LIABILITY, OR OTHERWISE, EVEN IF AKAMAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. IN NO EVENT SHALL AKAMAI’S TOTAL LIABILITY TO PARTICIPANT, JOINTLY AND SEVERALLY, UNDER THIS POLICY FOR ALL DAMAGES, EXCEED THE AMOUNT OF ONE HUNDRED ($100.00) DOLLARS.
Emendamenti. Questa Policy viene allegata per modificare le Condizioni per i provider esclusivamente nel rispetto dell'oggetto contrattuale. In caso di conflitto tra i termini di questo EAP e quelli dell'MSA, questo EAP verrà considerato prevalente solo relativamente all'argomento espressamente discusso.
Modifiche. You irrevocably agree that Akamai shall have sole and absolute discretion to modify, replace, or terminate this Policy, in whole or in part, at any time with or without notice, and that such changes shall be effective between the later of fourteen (14) day of being posted by Akamai or your continued use of a Covered Service.
